Services

Business startup, growth, transactions and employment

Long before hiring an in-house lawyer becomes a desire or a possibility, small and midsized businesses looking for legal counsel often need prompt, efficient service in multiple areas of law -- from business formation to asset sales and acquisitions, from employment issues to contract negotiation, and from licensing to litigation.  Drawing on our valuable experience as in-house chief counsel and external legal advisors, we offer a wide array of services tailored to meet each client's particularized demands.

The firm has counseled clients on entity selection at startup; operations and corporate governance; partnership additions and disputes, including fraud claims; personnel procedures; competition and trade secret claims; wrongful termination and employment defense; franchising and licensing matters; loan workouts and collections; claims and litigation management; and general contract review and dispute resolution.

We work to help clients avoid costly litigation where appropriate but are committed to aggressive advocacy whether inside or outside the courtroom.

Regulation, licensing and permitting

We serve our clients before local and state government and their agencies including counseling, transactional work and related litigation and advocacy.

Our lawyers have experience with government regulation, licensing and permitting in a variety of environments -- from zoning matters and construction permits to liquor licensure and appearances before administrative boards and commissions.

We have experience advising clients on all aspects of doing business with government entities including contracting, legislation, regulation, bidding, proposals, subcontracts, licenses and approvals. Drawing on our extensive legal work within and on behalf of government, we represent private clients in a wide variety of matters involving state and local agencies and governmental entities.

Real estate sales, leasing and dispute resolution

Our real estate practice includes commercial and residential acquisition and sales, investment, development, construction, operations, leasing and management. We counsel entities and individual clients in everything from contract negotiations to litigation and dispute resolution related to a broad array of properties including commercial premises, office and professional space, shopping plazas, apartment buildings, condominiums, homeowner associations and individual residences.

We have handled both standalone transactions and multifaceted deals involving real estate assets.  Our attorneys are skilled in commercial lease drafting and negotiations, tenant collections, insurance issues, construction and lien disputes, land use regulation and zoning matters, alternative and seller-financing options and all aspects of acquisitions and sales.

We also assist clients in resolving real estate loan issues including workouts, lease renegotiations, lockouts, evictions, collection proceedings, foreclosure actions and related matters.

Estate planning, wills and business succession

Individuals and small business owners, young and old, face a number of issues as they decide how they wish to provide for their families, their partners and their business successors should their health decline or they pass away.  Our firm frequently counsels clients on estate and business succession planning, answering every question along the way and developing all necessary documents for later use.

Estate planning is most appropriate long before poor health, dementia and death are frequent concerns. We assist clients by drafting wills, living wills, health care powers of attorney, general powers of attorney, transfer-on-death affidavits and other legal documents -- bringing your wishes into reality, minimizing legal expense and keeping important decisions about health care, survivors, children and partnership interests within your hands.  Additionally, we serve as counsel in probate court proceedings.
